Terms and Conditions

1. Definitions

• Company: Toyama Controls & Systems Pvt Ltd, #38-A2, KIADB Industrial Estate, Hoskote, Bangalore, Karnataka 562114, India.
• Products: Home automation hardware or software supplied by the Company.
• Services: Installation, support, or other services provided by the Company.

2. Scope

• These Terms supersede any prior or inconsistent terms unless explicitly agreed in writing by the Company.
• The Company may update these Terms without prior notice. The updated Terms will apply to future transactions.

3. Product and Service Delivery

• Products are described as accurately as possible; however, specifications and features may change without notice.
• The Company may make substitutions of equal or superior performance without materially affecting the intended function.
• Buyer is responsible for accuracy of any custom drawings, inputs, or instructions provided.

4. Pricing and Payment

• All prices are in INR unless otherwise specified.
• Payment terms are as agreed upon at the time of order. The Company may withhold or delay delivery for non-payment.

5. Warranty

• Products are warranted against manufacturing defects for 2 years from the date of delivery.
• During the warranty period, the Company will, at its discretion, repair or replace defective products.
• This warranty excludes damage due to misuse, unauthorized modification, improper installation, natural disasters, or normal wear and tear.
• The warranty is non-transferable and is limited to the original Buyer.

6. Limitation of Liability

• The Company is not liable for indirect, incidental, or consequential damages (including lost profits or data).
• Total liability for claims is limited to the amount paid by Buyer for the affected Product or Service.
• These limitations apply even if the stated remedy fails its essential purpose.

7. Intellectual Property

• All intellectual property rights in Products and Services remain the exclusive property of the Company.
• Buyer may not reverse engineer, modify, reproduce, or distribute the Products without prior written consent.
• Any feedback provided by Buyer may be used freely by the Company.

8. Confidentiality

• Both parties agree to protect and not disclose any confidential information shared during the course of engagement.
• Exceptions include disclosures required by law or information already in the public domain.

9. Governing Law and Dispute Resolution

• These Terms are governed by the laws of India.
• All disputes shall be subject to the exclusive jurisdiction of courts located in Bangalore, Karnataka.

10. Miscellaneous

• If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
• Notices must be in writing and delivered by hand, courier, or registered mail to the address specified in the order.
• Neither party may assign these Terms without the other party’s written consent, except in case of Company reorganization or business transfer.
• Failure to enforce any right shall not constitute a waiver of future rights.
